Helcim Hardware Terms

These Helcim Hardware Terms (the "Terms") are the terms that apply to the use of Helcim Hardware (as defined below). As the purchaser ("you") of the Helcim Hardware, you accept and agree to these Terms, which form part of your agreement with Helcim Inc. (if you are in Canada) or Helcim USA Inc. (if you are in the United States) ("Helcim", "we", or "us") and any updates or modifications made to these Terms from time to time by Helcim. Do not accept these Terms, or purchase or use any of the Helcim Hardware, if you are prohibited from doing so under any applicable laws.

Relationship to Other Agreements

Your use of the Helcim Hardware is subject to your successful application (in Helcim's sole discretion) for a Helcim payments processing account. The Helcim Merchant Terms of Service, available at https://legal.helcim.com/us/terms-of-service/ are incorporated into these Terms. To the extent these Terms conflict with the Helcim Merchant Terms of Service, these Terms shall prevail, but only as applicable to Helcim Hardware.
Definitions

Helcim Hardware ("Hardware") includes all physical point of sale devices and accessories including, but not limited to, stands, printers, scanners, cords and cables, as well as components and spare parts. Hardware also includes:
1. product or service documentation;
2. any software or firmware installed on, or distributed with Hardware ("Included Software"); and
3. any other software, documentation or technologies that Helcim may elect to provide to you, or provide access to.
Other capitalized terms not defined in these Terms have the definitions as set out in the Helcim Merchant Terms of Service.
Payment

Unless you purchase Hardware through an authorized reseller, your order checkout page shows the amount that you agree to pay and the method by which you will pay us.
Shipping

We will ship Hardware using a carrier selected by us. Your order checkout page shows your shipping method, estimated time and any shipping fees. The Helcim Platform will provide a tracking number for more up-to-date shipping information. While we will try to meet your dispatch and delivery dates, events beyond our control may affect the delivery of your Hardware after we provide them to the carrier. Therefore, we are not liable for late shipment or delivery or any loss, damage or penalty you incur from any delay in shipment or delivery. Notwithstanding the foregoing, title to the Hardware passes to you upon delivery to the carrier for shipment. Risk of loss for Hardware passes to you upon delivery to your designated delivery address.
Returns

If you are not fully satisfied with your purchase, you may return your Hardware and anything else that was included within thirty (30) days of delivery (the "Return Window"), in its original condition and packaging. You must return all Hardware and anything else that was included with the original package.

Helcim will review items returned within the Return Window. Once the return is approved, you will receive a refund for the Hardware purchase price only. Original shipping charges are non-refundable; however, Helcim will cover the cost of return shipping.

Refunds will be applied to the original purchase method upon receipt and inspection of the returned Hardware at Helcim's warehouse. Only Hardware purchased directly from Helcim or from one of Helcim's authorized resellers can be returned to Helcim.
Financing

Helcim offers financing plans for Hardware. The financing plans are not loan or rental agreements; they are a commitment to pay the full cost plus interest of the Hardware, in installments.

By choosing the financing plan, you agree to pay the listed price over the set number of payments, with the first payment taking place immediately upon purchase and the subsequent payments taking place every 30 days after the day of your original order, until the total amount including interest has been received by Helcim. Financing payments will be automatically deducted from the original payment method.
1. Missed Payments: You are responsible for remedying any missed payments, for any reason. Should you need to update your payment method due to an expiring or cancelled credit card, it is your responsibility to manage these updates via your Helcim account.
2. Right to Refuse: Helcim is under no obligation to provide financing terms to any Merchant, and may reject requests for financing at its sole discretion. In the event financing is not approved, you may still purchase Hardware at full price through the Helcim equipment store.
3. Set-Off Rights: To the extent permitted by law, we may set off against the proceeds for any obligation you owe us under any agreement with Helcim.
Returns on Financed Hardware

For Hardware purchased via a financing or installment plan pursuant to the Financing section above, returns are limited to the Return Window. Should you wish to return financed Hardware after the Return Window, for any reason outside of warranty coverage, you remain fully responsible to pay out the entirety of the remaining balance of your financing agreement pursuant to the Financing section above. Returning or shipping Hardware back to Helcim after the Return Window does not absolve you of this payment obligation.
Availability

While it is unlikely, it is possible that we may be unable to manufacture or obtain a sufficient supply of Hardware. Therefore, unless you purchase Hardware through an authorized reseller, we reserve the right to limit or change quantities available for purchase or to cancel your order. If we cancel your order, we will refund your purchase price in full.
Presale Orders

From time to time, we may offer Hardware for purchase prior to its release as a "Presale Order", as indicated at checkout. Payment for Presale Orders will be collected at checkout. You may cancel your Presale Order at any time prior to shipment, in which case we will refund you via the method paid and you will lose your place in the order queue. We will provide updates on the expected delivery date, which is subject to change. Once the Presale Order is ready to ship, delivery information will be relayed to you via the email associated with the order, and a tracking number will be available via your Helcim Platform.
Use of the Hardware
1. You must use the Hardware in a manner consistent with the terms of the Helcim Merchant Terms of Service, and except as otherwise provided in these Terms, the Hardware will be subject to the terms of the Helcim Merchant Terms of Service that governs the use of Helcim's Services;
2. You may only use the Hardware in conjunction with the Services;
3. You may use the Hardware for commercial purposes only, and not for personal, family or household use.
4. You are not permitted to use the Hardware on behalf of any other individual or entity.
Restrictions

You must not and you must not permit any third-party to:
1. Modify, disassemble, decompile or reverse engineer Hardware;
2. Use Hardware to violate any laws, including with regard to the collection storage, or transmission of information in violation of any laws; or
3. Remove, modify or otherwise tamper with the notices or legends on Hardware.
If we suspect or determine that you are using Hardware for unauthorized, fraudulent, or illegal purposes, or in violation of these Terms or the Helcim Merchant Terms of Service, we may immediately and without notice limit, suspend, or disable the functionality of your Hardware. We will not be liable to you or any third party for any losses or damages resulting from such action. This right is in addition to any other right we may have to suspend or terminate your account under the Helcim Merchant Terms of Service.
Feedback

You may choose, or we may invite you to submit comments or ideas about Hardware. If you submit comments or ideas to us, we will presume that your submission was voluntary, unsolicited by us, and delivered to us without any restrictions on our use of the comments or ideas. You agree that Helcim has no fiduciary or other obligation to you in connection with any comments or ideas that you submit to us, and that we are free to use your comments and ideas without any attribution or compensation to you.
Term and Termination

These Terms will apply until terminated. You may terminate these Terms by ceasing to use the Hardware (which you may do at any time), and promptly notifying Helcim. If you resume using Hardware you will once again be bound by these Terms (or any successive version of these Terms). Helcim may terminate these Terms immediately by providing notice to you as set out in the Merchant Terms of Service. These Terms will co-terminate if one or more of your Helcim agreements is terminated. Termination of these Terms will not affect any provisions that give rise to an ongoing obligation or limitation.
Amendments

We have the right to change or add to these Terms at any time, solely with prospective effect, and to change, delete, discontinue, or impose conditions on use of Hardware by posting such changes on our website or any other website we maintain or own. We will provide you with Notice of any changes through the Dashboard, via email, or through other reasonable means. You can access a copy of the current terms on our website at any time.

Limited Warranty

Helcim warrants the above listed Warrantied Hardware against defects in materials and workmanship under normal use for a period equal to the corresponding Warranty Length listed above, from the date the Warrantied Hardware was shipped. We will replace such defective Warrantied Hardware at no cost to you. However, if requested, you must return the defective Warrantied Hardware to us at the designated address, in the designated box, with all accessories, cords, cables, parts and documentation included, within fourteen (14) days of receiving your replacement Warrantied Hardware (the whole process, a "Warranty Return"). In the event you fail to return your defective Warrantied Hardware pursuant to the process and time frame specified by us, the returned Warrantied Hardware is not defective, or you have otherwise not complied with the terms of this agreement, we will charge either your Bank Account or, in some cases, the payment card you provided when you initiated your Warranty Return an amount equal to the price of the replacement Warrantied Hardware. A Warranty Return is your sole and exclusive remedy for breach of this limited warranty. This limited warranty is only available to you as the original purchaser of the Warrantied Hardware. This limited warranty terminates if you sell, lease or otherwise transfer the Warrantied Hardware. To initiate a Warranty Return, contact Helcim Support. TAMPERING OR HANDLING HARDWARE IN A MANNER THAT CAUSES THE TAMPER DETECT ERROR WILL RESULT IN VOIDING OF THE WARRANTY.

This limited warranty does not apply to any Warrantied Hardware that has been subject to alteration, repair, tampering, accident, abuse, misuse, fire, acts of God (including, without limitation, earthquake, flood, hurricane, lightning, or tornado) or other external causes. This limited warranty does not apply to any third party Hardware or accessories ("Third Party Hardware"), any consumable parts, including batteries, or any software, even if resold or included with the Warrantied Hardware. All Third Party Hardware resold or included by Helcim is provided solely according to the warranty and other terms specified by the manufacturer, who is solely responsible for service and support for its product. For service, support, or warranty assistance for Third Party Hardware, you should contact the manufacturer directly.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS LIMITED WARRANTY IS PROVIDED IN LIEU OF ANY OTHER WARRANTY, WHETHER EXPRESS OR IMPLIED, WRITTEN OR ORAL, WITH RESPECT TO ANY HELCIM OR THIRD PARTY PRODUCT. ACCORDINGLY, HELCIM EXPRESSLY DISCLAIMS ANY WARRANTY OR CONDITION OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, OR AGAINST HIDDEN OR LATENT DEFECTS. TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED, HELCIM LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE DURATION AND REMEDY OF THIS LIMITED WARRANTY. IN NO EVENT WILL HELCIM BE LIABLE FOR ANY LOSS OR DAMAGE OR FOR INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES HOWEVER CAUSED ARISING OUT OF YOUR USE OF OR INABILITY TO USE ANY HELCIM OR THIRD PARTY PRODUCTS, INCLUDING LOSS OF REVENUE, LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF GOODWILL, OR LOSS OF REPUTATION.

In any event, and to the maximum extent permitted by applicable law, Helcim's total aggregate liability to you under these Terms, whether in contract, tort, or otherwise, will not exceed the total amount you paid to Helcim for the specific Hardware that gave rise to the claim in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Helcim and its affiliates, officers, directors, employees, and agents (each, a "Helcim Party") from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) brought by a third party arising out of or relating to:
1. your breach of these Terms or the Helcim Merchant Terms of Service;
2. your use of the Hardware in violation of any applicable law;
3. the negligent or willful acts or omissions of you, your employees, contractors, or agents in connection with the Helcim Hardware; or
4. any claim by a third party that arises from your contractual or other relationships in connection with the Hardware.
We will notify you promptly of any such claim and give you reasonable cooperation in the defence of the claim. You may not settle any claim that imposes any obligation or liability on any Helcim Party without our prior written consent.
